Composure Terms of Service
Effective date: 26 October 2026
Operator: Thaker Innovations
Contact: tapan@thakerinnovations.com
1. These terms
These Terms of Service (“Terms”) govern access to and use of Composure. Composure is a business service that helps organizations work with email, WhatsApp, files, audio, connected services, automations, and AI.
“Composure,” “we,” “us,” and “our” mean Thaker Innovations. “Customer” means the organization that receives or buys the service. “User” means a person who uses Composure for a Customer. “You” means the Customer and each User, as applicable.
By creating an account, accepting an invitation, signing an order, or using Composure, you agree to these Terms. If you use Composure for an organization, you confirm that you have authority to bind that organization. If you do not agree, do not use Composure.
These Terms, an accepted order form or plan, and the Composure Privacy Policy form the agreement. An accepted order form controls if it clearly conflicts with these Terms.
2. Business use and eligibility
You must be at least 18 years old and legally able to enter this agreement. Composure is for business use. It is not a consumer, emergency, medical, legal, financial, or safety-critical service.
You must give accurate account information. You must keep account access and sign-in codes secure. You are responsible for activity performed through your account, except to the extent that the activity results from our breach of this agreement.
3. Organizations and administrators
A Customer controls its organization workspace. It chooses administrators, members, connected accounts, automations, recipients, and permissions.
An administrator can manage members and organization settings and can connect services on the Customer’s behalf. The Customer is responsible for its administrators’ actions and for removing access when a person no longer needs it.
A person can belong to more than one organization. Data and permissions are separate for each organization.
4. Customer data and authority
“Customer Data” means data that a Customer or User gives to Composure or directs Composure to receive, store, search, generate, send, or process. It includes email, WhatsApp messages, files, audio, transcripts, instructions, personal data, and generated work.
As between you and us, you keep your rights in Customer Data. You give us a limited, worldwide right to host, copy, transmit, transform, display, and otherwise process Customer Data only as needed to provide, secure, support, and maintain Composure, meet the agreement, and comply with law.
You confirm that:
- You have the rights, notices, permissions, and lawful basis needed for Customer Data and your instructions.
- You can authorize Composure to access each connected account.
- Your use of personal data about customers, workers, contacts, and other people is lawful.
- Your instructions do not require us to break a law, another person’s rights, or a connected service’s rules.
You must not give Composure a password, login code, private key, or access token through Ask or ordinary workspace content. Use the protected connection process.
5. Connected services
Composure can connect to services such as Gmail and WhatsApp. A connected service has its own terms, policies, permissions, limits, and availability. You authorize us to exchange Customer Data with that service when needed for the features that you enable.
An administrator can disconnect a service. You can also revoke access at the service provider. Disconnecting stops new access through that connection after the change takes effect. It does not erase data or work records that Composure already stored.
A connected service can change, restrict, suspend, or end access. We are not responsible for a connected service’s acts, omissions, or availability. We can change or stop an integration when needed to comply with its rules or protect Composure.
6. Email and WhatsApp
Composure can receive, store, search, summarize, classify, draft, and send business communications when the applicable feature is enabled.
You are responsible for:
- The mailboxes, phone numbers, recipients, and messages that you connect or use.
- Giving required notices and obtaining required consent.
- Marketing, anti-spam, employment, call-recording, telecom, and messaging-law compliance.
- Reviewing message content, recipients, and attachments before an external send when review is available or required.
- Keeping organization access current.
A business number or mailbox can receive a message that is unrelated to the task you intended. Composure can store that message under the connected organization. You must use suitable business accounts and must not connect an account if Composure’s access would be improper.
A provider’s “accepted,” “sent,” or similar status does not prove delivery or reading. A network failure can leave a send outcome unknown. Do not make a second manual send unless you have checked the outcome.
7. AI and automated work
Composure uses AI to interpret instructions, search data, summarize information, create drafts, recommend actions, transcribe audio, and run configured work.
AI output can be inaccurate, incomplete, offensive, outdated, or unsuitable. It can omit context or identify the wrong person or record. You must apply human review that is suitable for the risk. Do not rely on Composure as the only basis for a legal, employment, credit, medical, safety, or other high-impact decision.
An administrator can configure automations and tool policies. Some authorized reads or actions can run automatically. Other actions can require approval. A skill, prompt, or AI response does not create permission that the account, role, connection, or tool policy does not grant.
You are responsible for the instructions, permissions, recipients, and decisions that you configure. We can stop or refuse an instruction that appears unsafe, unlawful, unauthorized, technically harmful, or outside the service limits.
8. Acceptable use
You must not use Composure to:
- Break a law or another person’s rights.
- Send spam, unlawful marketing, fraud, threats, harassment, or deceptive content.
- Access an account, message, file, or system without authority.
- Collect or infer sensitive data for unlawful discrimination or surveillance.
- Create malware, bypass security, test vulnerabilities without written permission, or disrupt a service.
- Hide your identity or misrepresent the source of a message.
- Copy, rent, resell, sublicense, or provide Composure as a service bureau unless an order permits it.
- Reverse engineer or bypass a technical limit, except where the law does not allow that restriction.
- Use Customer Data or output in a way that violates a connected provider’s terms.
You must not use Composure for emergency dispatch, life-support, weapons, or any use where an error can reasonably cause death or serious physical harm.
We can investigate suspected misuse. We can limit or suspend the affected access when reasonably necessary to protect people, data, providers, or the service.
9. Privacy and confidentiality
Our Privacy Policy explains how we process personal data.
Each party can receive non-public business, technical, or security information from the other party. The receiving party must use reasonable care to protect it and can use it only for this agreement. This duty does not apply to information that is public without breach, already lawfully known, independently developed, or lawfully received without a duty of confidence.
A party can disclose confidential information when law requires it. Where legally permitted, it will give prompt notice and disclose only what is required.
10. Security
We use reasonable technical and organizational controls to protect Composure. You must use reasonable controls for your accounts, devices, users, connected services, and Customer Data.
You must tell us promptly if you suspect unauthorized access, a leaked credential, or misuse. No online service is completely secure. You are responsible for keeping separate copies of Customer Data that you need for legal, continuity, or recovery purposes.
11. Ownership
We and our licensors own Composure, its software, design, documentation, models, service data, and related intellectual property. These Terms do not transfer that ownership to you.
Subject to these Terms and any plan limits, we give you a limited, non-exclusive, non-transferable, revocable right to use Composure during the agreement for your internal business purposes.
You can give feedback. You allow us to use feedback without payment or restriction. We will not identify you publicly as the source without permission.
AI output can be similar to output given to another customer. We do not promise that output is unique or that it can receive intellectual-property protection. Your rights in output are subject to law, third-party rights, connected-service terms, and the rights in the input data.
12. Plans, trials, fees, and taxes
The plan or order shown to the Customer states the price, currency, term, seats, allowances, and included features. Plan limits can include messages, calls, AI use, storage, or other usage.
Unless an order states otherwise:
- Fees are due in advance and are non-refundable, except where law requires a refund.
- The Customer is responsible for applicable taxes other than taxes on our net income.
- A trial is temporary, can have lower limits, and does not promise future access or a paid plan.
- We do not charge a payment method or start a paid renewal without the Customer’s clear authorization.
- We can restrict new work when a trial or paid term ends, a payment is overdue, or a usage limit is reached. We will keep account and data-management access where reasonably possible.
Composure does not currently offer self-service payment processing. A written order, invoice, or separately agreed process can apply until that changes.
13. Changes to the service
We can improve, add, remove, or change features. We will give reasonable notice before a change that materially reduces a paid core feature during its paid term, unless an urgent security, legal, or provider change prevents notice.
Beta, preview, pilot, and evaluation features can change or stop at any time. They can be less reliable and can have special limits. Do not use them for work that requires guaranteed availability or retention.
We do not promise that Composure will always be available, uninterrupted, or error-free. Maintenance, provider failures, internet failures, and events outside our control can affect it.
14. Suspension and termination
You can stop using Composure at any time. A Customer can ask us to close its organization subject to any order, unpaid fees, legal duties, and verification.
We can suspend or terminate access if:
- You materially breach these Terms and do not fix a breach that can be fixed after reasonable notice.
- Use creates a security, legal, fraud, provider, or safety risk.
- Fees remain unpaid after applicable notice.
- A provider or law prevents us from continuing the service.
We can act without advance notice when delay would create material risk. We will limit the action to what is reasonably necessary and explain it when permitted.
After termination, your right to use Composure ends. Source records imported from connected services follow the organization’s selected source-retention period, which is 15 through 180 whole days and defaults to 90 days. Ask conversation history and attachments are not covered by that organization setting. They follow separate account-closure, privacy-request, or garbage-collection processes described in the Privacy Policy. Operational, billing, security, legal-hold, provider, and restricted recovery copies can follow separate schedules described in the Privacy Policy. Termination does not erase messages from recipients or third-party services. Sections that must logically continue will survive, including payment duties, confidentiality, ownership, warranty limits, liability limits, indemnity, and dispute terms.
15. Disclaimers
To the maximum extent allowed by law, Composure is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
We do not warrant that AI output, search results, summaries, classifications, transcripts, provider statuses, or suggested actions are correct or complete. We do not provide professional advice.
These disclaimers do not remove a warranty or right that applicable law does not allow us to exclude.
16. Limits of liability
To the maximum extent allowed by law, neither party is liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for lost profit, revenue, goodwill, opportunity, or data, even if the loss was foreseeable.
To the maximum extent allowed by law, each party’s total liability arising from Composure or this agreement will not exceed the fees paid or payable by the Customer for Composure during the 12 months before the event that caused the claim.
The limits in this section do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, a breach of confidentiality, misuse of the other party’s intellectual property, the Customer’s payment duties, the Customer’s indemnity duties, or liability that law does not allow the parties to limit.
17. Indemnity
The Customer will defend and indemnify us and our personnel against a third-party claim, loss, or reasonable cost that results from:
- Customer Data or the Customer’s instructions.
- The Customer’s unlawful email, WhatsApp, recording, marketing, employment, or data practice.
- The Customer’s breach of sections 4, 6, or 8.
- A dispute between the Customer and its Users, administrators, contacts, or recipients.
We will give prompt notice, allow the Customer to control the defense and settlement, and provide reasonable cooperation at the Customer’s cost. The Customer cannot settle a claim in a way that admits our fault or creates a duty for us without our written approval.
18. Applicable law and disputes
These Terms are governed by the laws that apply to the service and the parties. A court or authority with legal jurisdiction can hear a dispute.
Before filing a claim, each party will give written notice and allow 30 days for good-faith discussion, except when urgent injunctive relief is needed. Nothing in these Terms limits a mandatory right or jurisdiction that applicable law provides.
19. General terms
Neither party is liable for delay caused by an event outside its reasonable control, except for payment duties.
You cannot assign this agreement without our written approval, except as part of a merger or sale of substantially all relevant assets. We can assign it as part of a merger, reorganization, financing, or sale of our business, subject to applicable privacy duties.
If one term is unenforceable, the rest remain in effect. A failure to enforce a term is not a waiver. These Terms and the documents they incorporate are the complete agreement about Composure and replace earlier statements on the same subject.
We can send service and legal notices through Composure, email, WhatsApp, or the contact details on the account. You must keep those details current.
20. Changes to these Terms
We can update these Terms. We will state the new effective date and give reasonable advance notice of a material change. If a change materially affects existing use, we can ask an administrator or User to accept the updated Terms. If you do not agree, you must stop using Composure before the change takes effect and follow the available closure or export process.
